Terms of Service

1. Who we are

"Agentic Apples" (also "we," "us," or "our") is operated by Agentic Apples LLC, a West Virginia limited liability company. Agentic Apples publishes a collection of software tools and websites — including the site at agenticapples.farm and any apps, services, subdomains, or products offered under the Agentic Apples name (collectively, the "Services").

2. Acceptance of terms

By accessing or using any of the Services, you agree to be bound by these Terms of Service ("Terms"). If you don't agree, don't use the Services. If you're using the Services on behalf of a company or organization, you confirm you have authority to bind that organization to these Terms.

3. Who can use the services

You may use the Services only if:

• You're at least 18 years old, or the age of majority in your jurisdiction;
• You can form a legally binding contract with us;
• You're not barred from using the Services under applicable law.

4. Your account

Some Services may require an account or other access credential (such as a PIN, login token, or invitation). If you have one, you agree to:

• Provide accurate information;
• Keep your credentials secure and confidential;
• Not share your credentials or allow unauthorized access;
• Notify us promptly of any unauthorized access;
• Take responsibility for activity under your account.

You're responsible for everything that happens under your account or credentials, whether or not you authorized it.

5. Acceptable use

Don't use the Services to:

• Break any law or regulation;
• Infringe anyone's intellectual property, privacy, or other rights;
• Send spam, malware, or harmful code;
• Interfere with or disrupt the Services or anyone else's use of them;
• Attempt to reverse-engineer, decompile, disassemble, scrape, or otherwise extract source code, training data, or proprietary structure of the Services, except as expressly permitted by law;
• Copy, reproduce, modify, sublicense, resell, or create derivative works based on the Services without our written consent;
• Use the Services to build a competing product;
• Misrepresent yourself or impersonate anyone;
• Generate content that is defamatory, harassing, sexually explicit involving minors, or otherwise harmful.

We reserve the right to suspend or terminate access for violations.

6. AI output and accuracy

Many of our Services use artificial intelligence to generate content, recommendations, or actions. AI output can be wrong, incomplete, biased, or misleading. You understand that:

• AI output is provided "as is" without warranties of accuracy or fitness;
• You should independently review AI output before relying on it for any decision;
• Some output may be similar to or identical to output produced for other users;
• You are responsible for how you use AI-generated content.

Don't use the Services for decisions that require professional judgment (legal, medical, financial, safety-critical, or similar) without verifying with a qualified professional.

7. Not a critical or safety-of-life system

The Services are not certified for use in life-safety, emergency dispatch, medical decision-making, financial transaction execution, or any other safety-critical application. Some Services may include data such as GPS positions, real-time mapping, AI-generated recommendations, or automated actions. None of this is a substitute for human judgment or qualified professional review.

You agree not to rely on the Services as the sole means of communication, navigation, decision-making, or action during emergency operations or in any context where errors could result in physical injury, financial loss, or other significant harm. Positions, recommendations, and AI-generated output must be verified independently before being acted upon.

We assume no liability for operational, medical, financial, safety, or other decisions made based on information displayed or actions taken by the Services.

8. Service availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Services may be temporarily unavailable due to maintenance, updates, infrastructure issues, network problems, third-party service outages, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions, and we reserve the right to modify, suspend, or discontinue any Service or feature at any time.

9. Your content

You retain ownership of any content, data, files, or input you provide to the Services ("Your Content"). By using the Services, you grant us a limited license to host, process, and display Your Content solely to operate and improve the Services for you.

You're responsible for Your Content and confirm you have the rights to provide it. Don't upload content you don't have permission to use. We don't sell, share, or distribute Your Content to third parties except as required by law or as described in our Privacy Policy.

10. Our content and intellectual property

The Services, including the Agentic Apples name, logos, software, code, design, user interface, workflows, documentation, and content (other than Your Content), are the exclusive property of Agentic Apples LLC and are protected by copyright, trade secret, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved. Unauthorized reproduction, distribution, or use of any portion of the Services may result in civil or criminal penalties.

11. Third-party services

The Services may integrate with or rely on third-party services (such as AI model providers, cloud hosting, authentication providers, payment processors, or analytics tools). Your use of those services is subject to the third party's own terms and privacy policies. We're not responsible for third-party services.

12. Fees, subscriptions, and payment

Some Services are free; others require payment. If a Service requires payment, the pricing and terms will be shown before you commit. Paid Services may be billed as one-time charges, monthly subscriptions, or annual subscriptions through a third-party payment processor.

For subscriptions: you may upgrade, downgrade, or cancel at any time. Cancellation takes effect at the end of the current billing period. Unless stated otherwise, fees are non-refundable, including for partial billing periods.

We may change pricing for any Service. Changes won't apply retroactively to amounts already paid, and active subscribers will be notified before a renewal price increase takes effect.

13. Termination

You can stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue a Service. On termination, the licenses we grant you end, but the sections that should reasonably survive (ownership, disclaimers, liability, governing law, disputes) remain in effect.

14. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent allowed by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted operation.

We don't warrant that the Services will meet your needs, will be error-free, or will produce specific results.

15. Limitation of liability

To the fullest extent allowed by law, Agentic Apples LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, lost goodwill, business interruption, or costs of substitute services — arising from or related to your use of the Services or inability to use them, even if we've been advised of the possibility.

Our total cumulative liability for any claim related to the Services will not exceed the greater of (a) the amount you paid us for the relevant Service in the 12 months before the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions don't allow these limits. If yours doesn't, the limits apply to the maximum extent permitted.

16. Indemnification

You agree to defend, indemnify, and hold harmless Agentic Apples LLC, its members, officers, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

17. Governing law

These Terms are governed by the laws of the State of West Virginia, United States, without regard to conflict-of-laws principles. The state and federal courts located in West Virginia have exclusive jurisdiction over any disputes that aren't subject to arbitration (see below).

18. Disputes

Any dispute arising out of or related to these Terms or the Services will first be addressed by good-faith informal negotiation. If we can't resolve it within 30 days, the dispute will be resolved by binding arbitration in the State of West Virginia under the rules of the American Arbitration Association, except that either party may bring an individual claim in small-claims court.

You and Agentic Apples LLC agree that disputes will be resolved on an individual basis only. Class actions and class arbitrations are not permitted.

19. Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date and, where reasonable, give notice through the Services or via email. Your continued use of the Services after changes take effect means you accept the updated Terms.
